In consideration for the services to be rendered by the Agents in connection with the Offering and as provided for in the Agency Agreement, the Agents will receive a fee consisting of a cash commission of 7% of the gross proceeds of the Offering including any proceeds received pursuant to the Over-Allotment Option and non-transferable broker warrants to purchase up that number of Units that is equal to 7% of the aggregate number of Units sold on that closing date, including Units sold pursuant to the Over-Allotment Option.
It is currently anticipated that the first closing of the Offering will take place on or about June 21, 2017.
